Things are now prepared in order to split the club. At the next general club meeting, November 18, 1981 at 7;30 pm at the Fircrest Community Center, 555 ContraCosta, Fircrest Washington. All club members will have a chance to vote on the proposed amendments to the by laws that will change the club to a racing club primarily. At the same time a new club will be formed to meet the needs of the touring people. This will split the racing and touring into two seperate groups so that their respective . ~- members can concentrate on promoting the part of the sport they are most interested in. It is important that all members come and vote so that the club structure for the upcoming years can meet the needs of the club members.
What follows are the by laws changes and an explanation of how the treasury will be split. It is vitally important that you send in the form at the bottom of the newsletter as this will det- ermine your club membership and where your share of the club treasury will go. It is also vitally important that each member be at the club meeting this month to vote on the amendments?
To all Tacoma Wheelmen's Club members:
The Executive Board has proposed that the articles of incorp-
oration and by laws of the Club be amended. The proposed amendm-
ents will change the Club name to Team Aero, change the club focus
to racing only, reduce the Club officers to a President, Vice
President, and a Secretary-Treasurer, change club dues to ten
dollars per year,and reduce the number of the club business

The first reading of the proposed amendments was at the regular
club meeting held on October 21, 1981. This notice is made
pursuant to. RCW 24.03.080 and 24.03,165.
It is hereby resolved by the Board of Directors of the Tacoma Wheelmen's Club, a nonprofit Washington corporation, that the following proposed amendments to the club articles of incorporation be submitted to a vote of the membership at the regular meeting of the Club to be held on November 18, 1981, at 7:30 pm at the Fircrest Community Center, 555 Cuntra Costa, Fircrest, Washington. :
Amendment I. The name of the corporation shall hereby be
Team Aero. :
Amendment II The purpose of the corporation shall be to
promote the sport of bicycle racing; organize and take part in
bicycle races;and associate and cooperate with other clubs and
associations in an effort to promote and foster friendship,
Sports membership and fellowship.
Amendment III The number of directors shall be not less
than three nor more than fifteen.
It is further resolved that the club Secretary is directed
to give notice to club members as required by RCW 24.03.080
and 24.03.165.
It is hereby resolved by the Board of Birectors of the Tacoma Wheelmen's Club, a non profit Washington corporation,- that the-following proposed amendments to the by laws of the Tacoma Wheelmen's Club be submitted to a vote of the members having voteing rights at the regular meeting of the club to be held at the Fircrest Community Center 555 Contra Costa, Fircrest, Washington, on November 18, 1981, at 7:30 pm.
Amendment I The name of the Tacoma Wheelmen‘s Glub is
changed to Team Aero,
Amendment II The club objectives shall be to promote the
sport of bicycle racing; to organize and take part in bicycle
races; and to associate and cooperate with other clubs and assoc?#
iations in an @ffort to promote and foster friendship, sports-
manship and fellowship.
Amendment III Effective January 1,1982, dues for membership
shall be ten dollars per year.
Amendment IV Effective January 1, 1982, all club offices
except President, Vice President, Secretary and Treasurer shall
be abolished, The offices of Secretary and Treasurer shall be
contained in a single office. The President, Vice-President and
Secretary-Treasurer shall each be an ex officio director, There
shall be no other directors, The President » with the approval of
the Executive Board, may appoint committee chairmem as it
becomes mecessary. The term of office shall be one year, from
January lst to December 31st.
Amendment V There shall be an annual meeting on December 16, 1981, for the purpose of the eleetion of directors and officers and for other club business, Thereafter the annual meeting shall be held during each December at a place and time to be designated by the Executive Board. Other meetings shall be held as designated by the Executive Board. Members shall be given not less than ten nor more than fifty days notice of the time,date and place of each meeting.

Amendment VI All club Checks shall be signed by either the
President or the Secretary-Treasurer. All revenue , from any
source, shall be placed in the Club's general fund and shall be
used for any purpose consistent with the club objectives.
It is further resolved that the Secretary is directed to give
written notice of the proposed amendments as required by RCW
24.03.080 and 24,03.165.
Amendment VII All Dues shall be due on January 1st of
each year,

To all Tacoma Wheelmen's Club members:
As you may know the executive board has proposed that. the
club be split into 2 clubs. One club will be primarily devoted
to racing and the other to touring.
If the split is approved by the general membership at the
November 18, 1981. club meeting, each member will be allowed to
join either or both clubs. The treasury , less all legal fees
conected with the by laws change and the formation of a new
incorporated club, will be divided in proportion to the members
joining each club. For example, suppose the club has 1000
dollars in the treasury and 100.members. Each member share of the
treasury is $10.00. 30 members want to join’ the racing club
only, 40 want to join the touring club only and 30 want to join
both clubs. $450.00 will go to the racing club. This is the
sum of $10.00 per person for those wishing to join the racing
elub only and $5.00 (a half share)for those wishing to join
both clubs, $550 will go to the touring club. qygee Taber Ss

Each member is allowed to indicate his preference by filling
in the following form. The form may be given to any club officer
at or before the club meeting to be held on December 18, 1981.
Any member who does not return the form will automatically become
a member of both clubs. The club treasury will be divided at the
December 16, 1981 meeting. Disputed claims to membership will
be resolved by a vote of the members present at that meeting.
Each individual or family. membership has one vote and one share
of the club treasury.
